Rod A. Shipman

President, CEO, Director of the Board

Mr. Shipman has been president and chief executive officer of CPC of America, Inc. (CPC) since January 1997, and has served as a director since the inception of the company in May 1996. Mr. Shipman has more than 30 years of experience in the medical industry, having served as president and chief executive officer of a healthcare consulting firm; senior vice president and chief operating officer of a publicly traded medical imaging and nuclear medical services company; and president and chief operating officer of a private mobile diagnostic imaging and service company. Mr. Shipman holds a Masters degree in Public and Healthcare Administration from the University of San Francisco, California and received a Bachelor of Science degree in Business Administration from Pepperdine University in Malibu, California.

Marcia J. Hein, CPA

Chief Financial Officer, Treasurer, Director

Chief financial officer and treasurer of CPC, Ms. Hein has served as the owner and manager of Marcia J. Hein, CPA, an accounting firm located in Fort Collins, Colorado, since October 2003. Prior to that, Ms. Hein was a partner in Cacciamatta Accountancy Corp., a registered independent public accounting firm located in Irvine, California, from October 1994 to October 2003. Ms. Hein is licensed as a Certified Public Accountant in the states of Colorado and California. She holds a Bachelor of Science in accounting from Western Kentucky University.

Rafe Cohen, CPA

Director, Chairman of Compensation Committee

Mr. Cohen has served as a director of CPC since July 1998 and served as treasurer from July 1998 to September 2000. He is a Certified Public Accountant and has owned and managed his own accounting practice since 1974. Mr. Cohen also currently serves as president of Galaxy Theaters. Mr. Cohen received a Masters Degree in Business Taxation from the University of Southern California and holds a Masters Degree in Finance from the University of California, Los Angeles.

Ron P. Cenko, CPA

Director, Chairman of Audit Committee

Mr. Cenko is chief financial officer at Siena Health Ventures, a private equity-sponsored multi-state provider of outpatient rehabilitation services. He has more than 22 years of experience in providing financial counsel to companies, and 15 of those years were spent in the healthcare industry. Mr. Cenko is a Certified Public Accountant and holds a bachelors degree in finance and accounting from the University of Michigan.

William C. Lievense

Director

Mr. Lievense has served as a director of CPC since October 1996. He has more than 30 years of experience in the medical industry. Since 2004, Mr. Lievense has held the position of chief executive officer of the Triad Hospital in Jonesboro, Arkansas. Mr. Lievense was the president and chief executive officer of Columbia/Doctors Hospital of Sarasota, Florida, and its predecessor, Galen Health Care Corporation from 1993 to 2000. Mr. Lievense holds a Masters degree in Business Administration from the University of Louisville, Kentucky and received a Bachelor of Arts degree in Sociology from Alma College in Alma, Michigan.
